Some of the basic amenities are needed for a company to starts its businesses, and all places are not suitable for all kinds of business. But, Cyprus has its own advantages and specialties by which gained its recognition. The strong basement that it has for all the companies is its major strength of resources providing all the necessary requirements in all ways. Major recognition lays in the cities location i.e. Europe, Asia and Africa which are the three major continents of the world.

Being a resident of Cyprus gives a lot of advantages when it comes to tax payment, as a resident of Cyprus needs to pay only 10% of the total net profit. He is considered resident of Cyprus if his company’s management and control is done.

If the company is not a resident of Cyprus, then the tax is zero. Double tax treaty network is not present for non-resident IBC’s.

Registering a company:

Every company should have a name and it has to be selected by the one who starts the company and also by the Register Group Of agencies. Approval is needed for preparing the memorandum.

Government requirements:

All the final audited statements should be submitted to the income tax office. The audition should be supervised by an auditor under the Cyprus law. Annual statements should contain details about directors, shareholders, and register office address within Cyprus Island.

Tax is one thing that concerns all the business companies. Cyprus is termed as tax- incentive Europe country, as it has the lowest regime in Europe.

Tax payment acts as a Single Corporation and hence there is no such thing separately for small or big companies.

Registering procedure:

Some of the procedures to be followed while registering are given below; they are to be strictly followed in order to get a good location for the new opening.

The companies name is approved that takes 4-5 days.

The application has to be filled and should be submitted on time.

Share holder’s play an important role as their photo copy is needed for future reference by the bank. The bank should provide an assurance letter and certain other documents are to be sent to the bank and mailed to the agency respectively.

For memorandum purpose a short description of the company and what ii is doing like in production and so on.

Register office address should be specified and a secretary, a share holder, a director are needed compulsorily.

This whole procedure takes about 8 days and can be reduced if the companies name is selected soon.

Cyprus is located in the heart of the Mediterranean Sea. It has a population of 706,000 citizens and out of these, a third lives around the urban areas. Most of the companies that invest in the country also set up their plants and warehouses in the urban areas. This is because of the availability of cheap labor and other resources like energy and access to roads. Cypriot civic law requires all companies to meet a number of requirements before they are incorporated. This enables the government to control investment and at the same time, it ensures that the companies comply with the standards that are set for business practice in the country, as the law requires.

The first requirement that a company must fulfill is have a unique business name specific for every company. The company is supposed to send this name for approval to the registrar of company names who then must approve the name before application of a certificate of incorporation starts. In addition to the business name, a company must have articles and a memorandum of association. These too are filed with the registrar of companies to help the Cypriot government in solving commercial cases that are related to the company operations. However, Cyprus authorities do not interfere in the running of companies.

A physical address is required before a company is incorporated. This is mainly because the physical address acts as a sign that a company has perpetuity and that there exists a physical premises where the company management may be located. A company must have a recommendation from a credible bank that it is capable of transacting in the capacity that it states in the articles of association. The country must also have a company secretary. The secretary must always be available at the company premises to take care of business when the proprietors are not around. For the people who prefer anonymity when they are registering companies, you can hire agents who then register the company at their behest. Company secretaries should also be hired, but this may be done on a quasi basis where they need not appear at the company premises. However, the name of the secretary has to be forwarded for bureaucratic purposes.

Other requirements before incorporation include the trade licenses from area councils that allow the company to operate in a certain area. A company is also required to register at the income tax department. The corporate tax in Cyprus is a fixed at 10% and all companies are supposed to comply. The time taken to incorporate a company ranges from five to seven days. No fees are charged foreign investors by the government when incorporating a company, which makes Cyprus a favorite destination for the investors who may be interested in doing business in the Middle East. Incorporation comes with a certificate that is evidence that a company has fully met the requirements stipulated by the law and that the management of the company has agreed to conduct business as the Cypriot law requires.

In order to incorporate an international offshore company in Cyprus, one must first understand how an actual company is registered in Cyprus in order to be able to incorporate with that company. This is because the consulting firm will handle that process for you.

You must first register the company name and get approval from the Registrar of companies. This takes between two and three days to complete. Perhaps one of the most costly steps in this process is where you must prepare the Memorandum and Articles of Association with an attorney, which may take a mere 2 days but it will cost you 1000 CPY. From then you must deliver the documents already processed to the Companies Section of the Registrar of Companies and Official Receiver and the process to approve them will take about 2 to 3 days. You also have to pay for registration and for the certificate you will receive. On top of that, you must pay a little over 1/2% on the set capital for the business. You must then register with the Ministry of Commerce Tax, the Ministry for Commerce VAT, and the Ministry for Commerce for Social Distribution. Each of these processes is free and only takes a day to complete. That is how an IBC company is registered in Cyprus.

As an offshore investor, you have the option to have your company registered Cyprian where you pay tax of 10% and you also get to reap the benefits of being a Cyprus company. You also have the chance to register it as an international business company with a Cyprus office. In both options, you have the choice to have local and international employees. The international employees, if residing in Cyprus as supervisors of the local office, will have a chance to apply for permanent residence. They will be able to reap the benefits of a being a member of the EU. If you incorporate it as an international business company or an IBC, you are exempt from paying tax and you can use foreign currency freely. You also get the chance to have your expenses while in Cyprus marked as tax deduction. The consulting firm will take anywhere between 7 days and 2 weeks to incorporate your company for you.

There are consulting firms that already have registered companies ready for your use. For an agreed upon fee, they will incorporate the pre-existing company into your international company and you can enjoy the advantages that come with it. This includes the added advantage that local authorities are not monitoring your finances. Either way, you are advised to have at least one director and shareholder and a secretary for your company. You also get the benefit of a consulting firm that will take care of your business for you for a small fee and you get to walk away with the majority profit from your company and in the process, your employees, if interested, have a shot at being Cyprus citizens and by extension becoming EU citizens as well.

Regardless of a company’s size, its area of operation, or location, the services it offers or the goods it sells, a company has several taxes it contends with in order to do business legally in any country on the planet. These taxes are stipulated in the country’s code of ethics. When a company, whether local or international, decides to conduct business then there is no exception to the rule of law. Taxes are usually calculated in terms of the company’s turn over (the gross amount the company has brought in during its daily business transactions over a particular period) and must be declared either monthly or annually depending on the stipulation of the law in the country of operation and Cyprus is no exception. In certain countries, the company in question may be required to pay taxes on both these occasions.

These taxes could be for its operations in the country or for its employees who may also be taxed separately by the government. Taxes enable the government of the day to run its various operations with ease and as such, each and every individual of a certain country that is considered an adult is required to pay taxes of a certain amount depending on the individual’s earnings and so on. The same applies to companies and organizations operating within the country’s jurisdiction. The level of taxation (the amount payable) that is imposed on an organization differs from country to country and from industry to industry with certain industries being taxed either additionally or higher than others are. To attract investors to the country resorts to tax incentives or rebates and Cyprus has some attractive ones.

The republic of Cyprus has over the years emerged as a leader in off shore company incorporation not only in Europe but also around the globe. Several mechanisms have been put together by the government to attract foreign investors from near and far. Offshore bank accounts and the corporate structures that are already in place help in the reduction of income and corporate tax. This is an extremely attractive incentive to individuals and organizations that are ready, willing, and able to do business in Cyprus. Other taxes that have reduction incentives are the capital gains tax and inheritance tax.

In this country, trading in securities is essentially tax exempt because any part of the profit gained while trading in these securities is considered as part of the profit. This profit is then considered part of the company’s trading activities and is therefore taken to be of a capital nature. Cyprus does not have any specific pricing requirements for products and or services and there are no specific substance requirements. Invoices from off shore companies are also accepted in Cyprus. Another fact is that company books and payments to offshore companies bear no withholding tax. All these things put together; from location to business environment to tax incentives make Cyprus one of the ideal destinations for offshore investments and a prime location to set up shop.

Cyprus is an Island located on the Mediterranean Sea. For the longest time some of the inhabitants of Cyprus wanted to be an offshoot of the nation of Greece and there were continuous debates and skirmishes as the Greek Cypriots attempted to effect this change forcibly through war. Their non-Greek counterparts, mainly the Turkish Cypriots, however, opposed this move. Its main religion is the orthodox Christian religion with a few Muslims and its currency is the Cypriot Euro. It has been a member of the Commonwealth since 1961 after gaining independence from British administrative rule in 1960.

The Commonwealth (formerly known as the British Commonwealth) is an organization made up of 54 member states that were once a part of the British Empire ruled by the monarch of the time during what is famously referred to as the colonial era. As a member it shares the same values with the other 53 member states in as far as issues of good governance, human rights, free trade and world peace is concerned. In addition, it is one of only two member states of the Commonwealth whose official language is not English. This however does not pose any hindrance or act as a disadvantage to any company or companies (English speaking or not) that may wish to do business in Cyprus.

It is an island known worldwide for its sandy beaches, beautiful scenery and near perfect weather all year round. For decades, it has and continues to serve as one of the world’s popular holiday destinations. It joined the European Union, a political and economic union with 27 primarily European member states, on May 1, 2004 and this opened up new avenues of business for this island nation.

In Cyprus, several tax incentives are available for any offshore company that is willing to open and run its business on this island nation. Within the European Union, Cyprus has the lowest taxation charges in a country that is not considered to be off shore. The standard corporate tax in this nation is 10 percent. For shipping of goods, Cyprus has a very attractive percentage tax of zero percent (0%), which is truly unbeatable. The maritime management companies that are responsible for this shipping are taxed at 4.25 percent.

This is also on record as being the lowest taxation rate for maritime management companies as well as corporate companies in the European Union. These taxes and many others can be reduced by using the various management options available to off shore companies in Cyprus. Different types of contracts can also be put together by the company or companies in question to reduce the amount of corporate tax deductible even further. This beautiful island nation that has Turkish listed as one of its official languages is also considered a premier destination for finance companies, holding companies, and royalty trading companies. It is a not only a friendly nation but an investor friendly nation and one of the best places on earth to run a successful, profitable company from.

If you are already in Cyprus, you will know all the relevant details about the registration process for starting a firm in Cyprus. There are registering procedures are the same for resident and non – resident company’s in Cyprus. But the benefits offered by the Government of Cyprus vary for the resident and the Non – resident companies. The numbers of non – resident companies are increasing at a rapid pace because of the geographic location of Cyprus and also because of the tax regime offered by the law of Cyprus Government.

Since Cyprus is located across the continents of Asia, Africa and Europe, import and export of commodities required for setting up a new plant in Cyprus is made very easy. Also Cyprus has built in two international ports and international air ports. Since the location is in between the three major continents, also facilities are available for import and export of materials and commodities in and out of Cyprus, has made easy for international business companies to set up their plant out here in Cyprus.

The financial benefits offered by Cyprus Government:

Many residential industries and companies in Cyprus will come forward in collaboration to help the nonresident international business companies to ensure that they register successfully in Cyprus Law’s. They will assist and guide the investing company to register and to document all the necessary procedures in Cyprus Island. In addition to this there are several banks providing financial support for the entire business corporation for setting their company in Cyprus. The island of Cyprus has Double Treaty Tax network, which eventually cuts off all the tax limits. But the resident companies, that is, the administration and control of the company is in Cyprus itself.

Registration process to be carried out in Cyprus government:

Registration should be done in a sequence of operations right from getting approval for setting your company to your income tax audits. You have to first get approval for your company’s registration, proposed name of the company, registration process documentation, and final registration in the Cyprus government. The investing company should have shares for their company. The number of shares is mentioned in the Laws of Cyprus. Also, there should be a local director in addition to the main director for the company to be registered in Cyprus in order to check the income tax statements and other managing aspects of the company. A permanent address for your company should be selected.

It is officially known as the Republic of Cyprus. It is an island west of Syria and Lebanon and south of Turkey. It has known activity from the 10 century B.C. It is the 81st largest island on the planet and the third largest island on the Mediterranean Sea after the Italian Islands of Sicily and Sardinia. It officially joined the E.U on May 1, 2004. The European Union is a political and economic union that has 27 member states primarily from Europe. It developed and continues to develop a single market through standard laws that apply in all of the member states. It ensures free movement of people, goods, services, and capital across these borders. It also has common policies on agriculture, trade, fisheries, and development within its region. The republic of Cyprus was under British administrative rule up until 1960 but despite this, it has two non-English official languages mainly Greek and Turkish. It became a member of the commonwealth the following year.

To incorporate companies in Cyprus there are several processes the individual or group needs to follow. Firstly, the interested party must sort out the infrastructure required to run the business in question. This means that a business premises must be located and the payments made along with any other form of documentation that the owner of the property or the council may deem necessary. Secondly, the interested party must obtain a local bank account that will meet the company’s needs sufficiently. A lawyer also comes highly recommended for all new businesses that may not be familiar with the rules and regulations that govern Cypriot businesses. Lawyers not only ensure that the business operates within the stipulated legal parameters but they are also responsible for creating brief proposals that the enterpriser can present to financial institutions for any reason necessary. Any additional paper work is also duly completed by the lawyer. Their services are charged between 700 and 1000 Cyprian Euros and they help the company avoid any penalties that the company may not be in a position to anticipate and mitigate. An accountant that is well versed in the banking systems within Cyprus is also recommended to ease the company’s transition into the Cyprian business environment.

Taking over an existing company is easier though there are several things to be considered. Unlike starting a company from the ground up there are a few additional precautions that any individual or group needs to take. Firstly, it is prudent and important to get an independent and professional valuation of the company one intends to take over. If there are any hidden losses or loss generating activities or any outstanding legal or debt issues then these may be brought to the forefront and dealt with accordingly. This allows the individual or individuals to make informed decisions on whether the company to be bought or taken over is indeed worth it. Secondly, an accountant should audit the books to make sure that everything is indeed in order to ensure the right purchase is made.

The option to incorporate your company in Cyprus is a positive one because you do get to benefit from Cyprus tax laws. There are many consulting firms companies that will do it for you as long as you produce a few documents. They, in turn will sort out the documents to start-up a company in Cyprus according to their laws. They then proceed to set up the business for you for an annual fee.

In order to incorporate or register a company in Cyprus, first you must get approval for the name of your company. Then you must get approval from the Central Bank to permit for Foreign Exchange. From there your company must have a document known as Memorandum and Articles of Association. This document lays down what is the main business of the company being registered and how many shareholders and directors you will have among other details and this document must be printed in both Greek and English, as Cyprus is under Greek Jurisdiction. The consulting firm will do this for you. These documents must also be accompanied with a list of directors and shareholders. The shareholders information that must be included is their passports for identification and bank statements showing that they are financially stable and detailed contacts. You must also ensure that you have paid the necessary fees. The firm that you choose to do the registration of your company for you can also nominate directors and shareholders should the need arise.

In order to have a consulting firm assist you with all this, you must complete and submit an application. They also require bank references and statements for each of the shareholders. Then they also request that you send in your passport and those of the relevant shareholders and a copy of your passport or identification is required. Once all of this is sent through and is approved then that is when the quest for the about documents is handled by the consultants.

The advantage of incorporating a Cyprus company is that you are given the freedom to exchange foreign currency without restriction. In addition, if you have international shareholders and directors in Cyprus running that office they have a shot at applying for permanent residence in Cyprus. In addition, you are exempted from import and export taxed as you are an international company. Also the fact that the most tax you or any of your employees will have to pay is about 4% then you make more profit than if you ran the company in your local country or as a local Cyprus company. In addition, should you have any expenses in Cyprus, it is all counted as tax deduction, which means you cannot be taxed for whatever you spend. To top it all off, you are now registered as a member of the European Union, thus reaping the benefits of EU members. The benefits and advantages of incorporating your company in Cyprus make it a good reason to proceed with it

Cyprus location is on the northeastern part of the Mediterranean at a cross of Africa and Asia that is a great area to kill two birds with one stone. This is the perfect area to have a business. To ensure that business runs on all days of the year it is a relief that the climate is composed of dry hot summers and mild winters which are enjoyed all through the year round with 300 days of sunshine.

This country has a population of over 700,000 that offers the perfect environment to do business. With regards to the political atmosphere, the country has a presidential election every five years. At a closer look, you would note that the country’s political structure is western based and thus incorporating a company in the country is very easy and most laws are on the international level and thus one might not necessarily need a lot of help with its setting up as British law is used.

To enhance both the incorporation and running of a company the telecommunication system is up to standard and flight to neighboring countries and around the world is very frequent and convenient.

When incorporating a company is Cyprus, the main law used is the Cyprus Companies Law, Cap.113 that takes its roots from the English 1948 Companies Act. When a company is fully owned by foreigner, a private company is referred to as an international business company. If limited by shares a company can further be categorized as a Public or a Private company. Using the Partnerships Law, it provides for two general types of Partnerships.

The procedure for incorporation has been simplified over time and one starts with the submission of the Memorandum and Articles of Association to the registrar of Companies as well as an affidavit to a court of law accompanied by the appropriate registration fee. What the company is going to do is drafted in the Memorandum & Articles of Association and are usually very specific and to the point; this is mostly done by lawyers who are able to put everything in perspective.

Even after you have registered the company, there are some few rules that act as restrictions and protect you as well as the citizens and government. Some of these rules are that the company cannot undertake the business of banking, insurance or giving of financial services. This sounds very reasonable and straight to the point. Such is an example of the rules stated. All the documents and corporate documents are meant to be written in English or Greek. The registered office must also be in Cyprus. The whole process might take 5 days but this is subject to name approval. In a nutshell, that is how the companies are incorporated in Cyprus and the few rules that govern it. This now gives you a chance to jump in the next flight to Cyprus and start your business; as stated above, it is as easy and self-coordinated as flying a kite.
