Cyprus is the third largest island on the Mediterranean Sea. The economy of Cyprus is well-off and is a suitable base for offshore business due to is efficient infrastructure. The local or off-shore companies have to be registered by the government so as to perform any business transactions in the country. Company registration in Cyprus is no hard task and the prerequisites required for one to register are not exaggerated. The registration process can take a week or less. The Cypriot authorities have authorized the Cypriot nationals, European nationals as well as the non- European nationals to register Cyprus Company.

The process of registering a company in Cyprus does not require that the shareholders or beneficiaries be on the island. The shareholder can choose anonymity by appointing a nominee shareholder, nominee director, or else a nominee secretary to represent him or her. This is possible since the Cypriot authorities issued a declaration of trust by the nominee so that interests of the beneficiary shareholder are safeguarded in support of the beneficiary shareholder(s). For that reason, the public records at the registry about the ownership of the company indicate the name of the nominee and the actual owner is not disclosed. While you register Cyprus Company one has the right to request for equal treatment whether you are a non-European national or a Cyprus citizen.

Some of the expenses that are expected to be incurred in the process of registration are; the set up fee, annual fee for nominal services incase of anonymity, accounting fee/ auditing fee, annual expenses payable to the registrar of companies, document charges, taxes and incase of consultancy; consultancy charges and so forth. The registration fees (set up fee) and charges are paid once; they are the company creation charges, normally affordable. Registering a company in Cyprus could cost from 1200 euros to 3000 euros approximately, depending on who you register with. When one submits the company name for approval they are charged 8.54 euros for the search, incase the name is urgent the fee is higher, up to 25.63 euros.

The accounting and auditing fees differ from time to time, that is depending on the variety of dealings the company carries out each month or year, and it also depends on the accountant that you use that is if it is a miniature accounting firm or one of the big companies. A registered company must have annual returns each end year which includes any changes on the company ownership or directors and so forth. The stamp used on these documents costs around 100 euros.

There are two means that one could use to register Cyprus Company which are either expedited or non-expedited. It is estimated that the time taken to register is about a week or so but this period is dependant on the amount of workload the registration department of the registrar of companies has. The first step is to give the company name to the registrar for approval, then afterwards you can fill in the forms for registration.

Cyprus provides opportunities for people to register companies they are interested in for both offline and online businesses. Established companies may also wish to expand by opening a company in Cyprus that will be operating online too. You only have to register the company before you can be allowed to operate. The benefit with forming a company in Cyprus is that it allows full ownership to foreigners apart from the fact that corporate tax rates are considerably low at 10% and this has attracted many individuals and corporations who wish to register Cyprus Company.

All companies in Cyprus require registration so do the online businesses. You can decide to make your application online but the information needed is more or less the same. You will be required to provide contact and company details as well as a summary of the activities the company is intended to perform. When it comes to the director details, specify whether it’s an individual, corporate or nominee and the title to be used. You will also give the names and address information as well as the country of residence.

Other information needed to register Cyprus Company is the secretary, beneficial owner details and all shareholders’ details. For the shareholders, the number of shares to be issued will have to be specified. After you provide all the information and make the required payments, you can wait for the application to be accessed for approval which only takes a few days. The whole process can be facilitated by an online solicitor especially if you don’t want to go all the way to Cyprus to take care of it or when you are not sure how the system functions.

Since it is an online business, you should have a ready website from where you will be operating or where your clients can get you. The website will have the company name and address as well as the terms and conditions to be applied if sales are to take place over the internet. You will need a Cyprus business bank account too which will enable you carry out financial activities through the internet for your online business. The banking system in Cyprus is well established and this is probably because the area is popular with investors who will need banking.

Your online Cyprus Company must comply with all the rules for online companies in terms of security for client details especially when payments will be made using credit card online. You must guarantee that the credit card details for all your clients will be secured and state the security measures you have in place to make the business a trusted website.

Your business must also operate within the limits in which the company was registered for. If you intend to register Cyprus company that the authorities consider belongs to a business field already saturated, your application may be rejected hence you may consider doing some research on the kind of businesses that are best to form at the moment.

If you want to register a company in Cyprus, first of all, you will have to think of two or three alternative names for your company. These names will be submitted to the Registrar of Companies for approval. If the name suggested is already in use by any other company operating abroad, then a letter of consent is required from that company. In order to draw up the Memorandum and Articles of Association, the main objectives or purpose of the company to be registered in Cyprus must also be provided by the owner.

It is important that the company going to be registered in Cyprus has at least one shareholder, so that the shares may be registered in his name. However, in case the shareholder desires anonymity that can also, in most cases, be provided while registering a company in Cyprus. Company law in Cyprus also requires that every company in Cyprus, at the time of registration, should have a secretary. Another important legal requirement before registering a company in Cyprus, is the address of a registered office. Moreover, a bank reference is also required for each shareholder of the company. Any company to be registered in Cyprus must issue a share capital of at least 2000 shares, each comprising 1 Euro.

Foreigners no longer require the permission of the Central Bank of Cyprus to hold shares in, or register a company in Cyprus. Everyone, including Cypriots, Europeans and non-Europeans are treated equally, and the registration procedure has been overtly simplified. During the registration of the company in Cyprus, the beneficial shareholders need not be present in person. A company registered in Cyprus, comes into its own when used as part of a well designed international tax strategy.

Two ways can be taken while registering a company in Cyprus – the expedited and the non-expedited. Although there is no set time within which a company is registered in Cyprus, generally it takes within 10 to 18 working days. However, this period may vary depending on the workload of the Registrar of Companies, as well as whether the additional fees for the expedited service have been paid or not. The tax incentives in Cyprus, make it an attractive place for entrepreneurs who want to register ans start operating new companies and business corporations.
